How do I sign a non-disclosure agreement?

When a general contractor creates a confidential project, signing a non-disclosure agreement (NDA) is required before you can view the documents. This process is secure and digital via ValidSign.

This article is intended for subcontractors who have been invited to a confidential project. You need a valid email address for the verification step and, if you are signing on behalf of your company, the appropriate signing authority.

Step 1: Start from the request or 12Build

There are two ways to access the non-disclosure agreement:

  1. Via the Request for Proposal (email): Click on Download ZIP or View Documents. You will be redirected to 12Build, where a notification immediately appears stating that a signature is required.

  2. Directly in 12Build: Navigate to the Documents tab of the relevant project. You will immediately see the lock icon with the option to sign.

Step 2: Sign it yourself or have someone else sign it

In the ValidSign screen, choose who is authorized to legally bind the declaration:

  • Sign yourself: Are you authorized? Click the Send email verification button.

  • Have someone else sign: Are you not authorized to sign? Select another recipient from the list or manually enter your colleague’s name and email address. Then click Send email verification

Step 3: Sign the agreement digitally

The selected signatory will receive an email with the link “Sign Confidentiality Agreement.”

  1. Click the link in the email (it may take a moment for the document to load).

  2. Scroll through the entire text or use the navigation button to go to the signature field.

  3. Enter your name and title. The date will be filled in automatically.

  4. Click the blue “Sign” button.

  5. On the next screen, click "Confirm" at the bottom to complete the process. 

Step 4: View Documents

Depending on the general contractor’s settings, the following will now occur:

  • Immediate access: After the message "Thank you for signing," you can immediately view and download the documents.

  • Manual release: The general contractor must first verify your signature. You will receive an email as soon as the documents have been made available to you. 

Step 5: Download the non-disclosure agreement

Should you require a copy for your records, you can locate and download the signed non-disclosure agreement in your Outbox once the process is fully completed.

Question: Why can’t I see the documents yet after I’ve signed? Answer: The general contractor has likely selected “manual release.” You’ll need to wait for a confirmation email before the documents become accessible.

Question: Can I still withdraw a sent request for signature? Answer: If you selected the wrong colleague, you can often choose the option to have someone else sign the agreement in the project’s document screen.

Troubleshooting

  • Symptom: I am not receiving the email from ValidSign.

    • Cause: The email has ended up in the spam folder or the email address was entered incorrectly.

    • Solution: Check your junk mail folder. If the email isn’t there, return to step 2 and verify the accuracy of the email address.
